El Popular colocará RD$5,000 millones en bonos a largo plazo
Santo Domingo, RD.- El Banco Popular Dominicano recibió la aprobación de la Superintendencia de Valores y la Superintendencia de Bancos, para la colocación de bonos de deuda subordinada a un plazo no menor a 10 años por un valor de RD$5,000 millones, destinados a la ampliación de su base patrimonial.
Dichos recursos serán colocados a inversionistas profesionales e institucionales calificados, personas jurídicas locales e internacionales, con necesidades de recursos a largo plazo.
Con esta emisión, el banco alcanzará un índice de solvencia de un 15%, el cual excede en un 50% los requerimientos regulatorios, y le permite hacer crecer sus activos productivos en RD$50,000 millones, con los cuales podrá seguir satisfaciendo la creciente demanda de crédito de sus clientes y de los distintos agentes económicos.
A continuación, el comunicado oficial publicado por la Superintendencia de Valores:
SIV aprueba una Oferta Pública de Bonos de Deuda Subordinada del Banco Popular Dominicano, S.A. Banco Múltiple por DOP 5,000 MM
Santo Domingo, D.N.- La Superintendencia de Valores de República Dominicana (SIV) aprobó una oferta pública de Bonos de Deuda Subordinada al Banco Popular Dominicano, S.A. Banco Múltiple, por un monto total de hasta DOP 5,000,000,000.00 (cinco mil millones de pesos). La emisión, aprobada por el Consejo Nacional de Valores de la SIV mediante su Cuarta Resolución del 10 de agosto pasado, consta de una única serie. La cantidad de valores será de hasta 5,000 Bonos de Deuda Subordinada con un valor nominal de DOP 1,000,000,00 (un millón de pesos).
Los instrumentos del Banco Popular pagarían una tasa de interés anual fija o variable en pesos dominicanos, que deberá especificarse en el prospecto de colocación y en el aviso de oferta pública difundido antes de la colocación de los valores. Esta emisión única de bonos de deuda subordinada deberá tener un vencimiento no menor a diez (10) años, que serán contados a partir de la fecha de emisión.
Los fondos captados por el Banco Popular serán utilizados para integrarlos como capital secundario, dentro de los límites permitidos por la Ley Monetaria y Financiera y sus Reglamentos, con lo cual el emisor podrá atender la demanda de financiamiento de los sectores productivos del país.
Los fondos provistos por esta colocación de bonos serán destinados a engrosar la liquidez de la entidad con la finalidad de dirigirlos hacia operaciones rentables, principalmente, a suplir la creciente demanda de créditos del mercado local.
Los bonos subordinados constituyen activos financieros de largo plazo que son emitidos por instituciones de intermediación financiera. Se les denomina subordinados, debido a que los mismos se encuentran supeditados, a que se hayan satisfecho previamente las obligaciones derivadas de otras deudas y pasivos de la entidad.
El emisor fue calificado AA- (dom), por las agencias Fitch República Dominicana y AA- por Feller-Rate, S.R.L. Estas calificaciones indican muy baja expectativa de riesgo de crédito y una sólida capacidad de pago del capital e intereses en los términos y plazos pactados.
En cuanto a su nueva emisión de bonos de deuda subordinada, fueron calificados A+ (dom) por Fitch y A+ por Feller-Rate para instrumentos financieros de largo plazo en el mercado local. Esta calificación indica que el Banco Popular tiene una muy buena capacidad de pago de los compromisos financieros, sin embargo puede ser más vulnerable a cambios en circunstancias o condiciones económicas que en el caso de las calificaciones más altas. El sufijo “+” denota la relativa posición dentro de la categoría.
Estos valores de deuda a emitir por el Banco Popular serán adquiridos en el mercado primario a través de la Bolsa de Valores, por medio de los intermediarios de valores registrados en esa institución económica y autorizados por la SIV. Se utilizará el sistema de negociación electrónica de la Bolsa de Valores.
La oferta está dirigida a las personas jurídicas nacionales o extranjeras. Los bonos de deuda subordinada no podrán ser adquiridos de manera directa o indirecta por entidades de intermediación financiera locales o entidades off-shore, a menos que éstas sean propiedad de un banco internacional de primera línea. El puesto de bolsa Inversiones Popular, fungirá como agente estructurador y colocador de los bonos.
